Terms of Service

These terms cover use of Tuplets as a hosted transcription product and API, including account responsibilities, uploaded content, billing, acceptable use, and service limitations.

Contracting entity: IA Tuplets inc. / Tuplets AI inc., incorporated in Quebec.

Effective date: May 12, 2026

1. Scope

These Terms of Service govern your access to and use of Tuplets and are entered into with IA Tuplets inc. / Tuplets AI inc., a corporation incorporated in Quebec. They apply to the website, hosted application, account features, direct browser upload flow, and transcription API.

By creating an account, accessing the service, or sending requests to the API, you agree to these terms on behalf of yourself or the organization you represent.

2. Eligibility And Authority

You must be legally able to enter into a binding agreement to use the service.

If you use Tuplets for a company, employer, or other entity, you represent that you have authority to bind that entity to these terms.

3. Accounts And Credentials

You are responsible for all activity that occurs under your account, API keys, session credentials, and linked authentication methods.

You must keep credentials confidential and notify Tuplets promptly if you believe your account, API key, or session has been compromised.

Tuplets may disable or rotate credentials, require additional verification, or suspend access when reasonably necessary to protect the service, customers, or third parties.

4. Customer Content And Permissions

You retain responsibility for audio, transcripts, prompts, metadata, and other content you submit to the service.

You represent that you have all rights, permissions, notices, and consents needed to upload, process, store, and analyze that content, including rights relating to privacy, publicity, confidentiality, employment, wiretap, and biometric or voice data laws where applicable.

You must not submit content that is unlawful, infringing, deceptive, abusive, or outside the scope of rights you control.

5. Acceptable Use

You may not use Tuplets to violate law, interfere with the service, evade security controls, abuse rate limits, benchmark the service in a misleading way, or gain unauthorized access to systems, accounts, or data.

You may not use the service to develop or distribute malware, conduct unauthorized surveillance, impersonate others, infringe intellectual property rights, or process data in violation of applicable privacy or sector-specific rules.

Tuplets may investigate misuse and may suspend or terminate access for conduct that creates legal, security, operational, or reputational risk.

6. Service Behavior And Output

Tuplets provides software-assisted transcription and related features such as speaker labeling, PII-oriented processing, summaries, sentiment, and other insights. Outputs may be incomplete, inaccurate, or unsuitable for high-risk decisions without human review.

You are responsible for reviewing outputs before relying on them in legal, medical, employment, compliance, safety-critical, or other material contexts.

Tuplets may change, improve, limit, or discontinue features, models, or integrations from time to time.

7. API And Technical Limits

API access is subject to published authentication requirements, request validation rules, usage policies, retention windows, and rate limits.

You may not bypass or attempt to bypass quotas, concurrency controls, request throttles, or billing safeguards.

Tuplets may reject, delay, or cancel jobs that are invalid, unsafe, unsupported, abusive, or incompatible with current service constraints.

8. Billing, Credits, And Fees

Paid usage is billed according to the pricing shown by Tuplets at the time of use, including charges for optional processing features when selected.

Tuplets may offer free credits, promotional balances, or trial allocations, and may limit, modify, or discontinue those offers at any time.

Unless otherwise stated in writing, fees are non-refundable except where required by law. You are responsible for taxes, duties, and similar governmental charges associated with your use of the service.

9. Data Handling And Subprocessors

Tuplets uses infrastructure and storage providers to operate the service, including hosted processing and object storage components used for uploads and result delivery.

Source audio and result availability may be subject to retention windows, after which files or downloads may no longer be accessible through the service.

You are responsible for determining whether Tuplets is appropriate for your regulatory, contractual, or internal data-handling requirements, including any need for separate privacy terms, a data processing agreement, or additional vendor review.

10. Intellectual Property

Tuplets and its service software, design, branding, documentation, and related materials are protected by intellectual property laws and remain the property of Tuplets or its licensors.

Subject to these terms, Tuplets grants you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business or personal use.

These terms do not transfer ownership of the service or grant any right to copy, resell, reverse engineer, or create derivative services from IA Tuplets inc. / Tuplets AI inc. except as allowed by applicable law.

11. Suspension And Termination

You may stop using the service at any time.

Tuplets may suspend or terminate your access immediately if it reasonably believes you breached these terms, created risk for the service or others, failed to pay amounts due, or used the service in a prohibited way.

Upon termination, your right to use the service ends immediately, but provisions that by their nature should survive termination will continue to apply.

12. Disclaimers

The service is provided on an as-is and as-available basis to the maximum extent permitted by law.

Tuplets disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13. Limitation Of Liability

To the maximum extent permitted by law, Tuplets will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business interruption, data, or opportunities.

To the maximum extent permitted by law, the total aggregate liability of IA Tuplets inc. / Tuplets AI inc. for claims arising out of or relating to the service or these terms will not exceed the greater of the amount you paid to Tuplets for the service in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars.

14. Indemnity

You will defend, indemnify, and hold harmless Tuplets and its affiliates, officers, directors, employees, and contractors from claims, damages, losses, liabilities, and expenses arising out of your content, your use of the service, your violation of these terms, or your violation of law or third-party rights.

15. Changes To These Terms

Tuplets may update these terms from time to time. The updated version will become effective when posted unless a later date is stated.

If you continue using the service after updated terms become effective, you agree to the revised terms.
